Immediate Report - Notice from the Israeli Anti-Trust Authority regarding the agreement between yes and Partner Communications Ltd.
Further to the Company's immediate report dated July 9, 2024 regarding the agreement between its subsidiary, yes Television and Communication Services Ltd. ("yes"), and Partner Communications Ltd. ("Partner"), the Company hereby reports that on March 19, 2025, it received a letter from the Israeli Anti-Trust Authority (the "Letter") regarding yes' request for an exemption from approval for a restrictive arrangement with Partner.
According to the Letter, at this stage, the Israeli Anti-Trust Authority's examination of the arrangement between yes and Partner indicates that the restrictions included therein limit competition in a significant portion of the market affected by the arrangement and may cause substantial harm to competition in the relevant market, in relation to several competitive aspects reviewed as part of the exemption request. Accordingly, the Anti-Trust Commissioner is considering rejecting the exemption request.
yes maintains that these concerns are unfounded and it intends to exercise its right to a hearing to present its case to the Commissioner before a final decision is made. The Company reiterates, as stated in the immediate report of July 9, 2024, that the Company and yes believe that the agreement is not expected to have a material impact on the Bezeq Group's business operations.
