Immediate Report - Judgment Approving a Settlement in Motions for Disclosure of Documents for the Purpose of Examining the Filing of a Motion for Certification of a Derivative Claim and in a Motion for Certification of a Derivative Claim
Holon, Israel – December 18, 2025 – Bezeq The Israeli Telecommunications Corp. Ltd. (the "Company") (TASE: BEZQ), announced today that further to the Company’s immediate reports dated March 5, 2020 and June 5, 2023, and to the description set out in section 2.18.1(g) and footnote 30 to the chapter “Description of the Corporation’s Business” in the Company’s Periodic Report for 2024, regarding two motions (which were consolidated) for disclosure of documents for the purpose of examining the filing of a motion for certification of a derivative claim [concerning the exercise of the Company’s rights against office holders in connection with the determination of the Anti-Trust Commissioner dated September 4, 2019, regarding abuse of the Company’s dominant position in the infrastructure field], as well as regarding a motion for certification of a derivative claim [concerning financial sanctions imposed on the Company by the Ministry of Communications in connection with the implementation of the wholesale market reform], on December 17, 2025, a judgment was rendered approving a settlement arrangement in these proceedings.
Pursuant to the settlement, an amount of approximately NIS 3.4 million will be paid to the Company by the Company’s officers’ and directors’ liability insurance, out of which the Company will bear the payment of the attorneys’ fees and the applicable deductible. The settlement exhausts all causes of action of the Company in relation to the sanctions imposed by the Ministry of Communications and the Anti-Trust Commissioner, and the payment of the compensation shall constitute full and final settlement and discharge of all claims and of any damage caused to the Company, if any, as a result of the events that led to the imposition of the sanctions by the Ministry of Communications and the Anti-Trust Commissioner.
