Immediate Report – Filing of a Request for Approval of a Mediation Agreement in a Derivative Action
Holon, Israel – November 23, 2025 – Bezeq The Israeli Telecommunications Corp. Ltd. (the "Company") (TASE: BEZQ), announced today that following the Company's immediate report dated April 10, 2024 and as stated in section 2.18.1(f) of the Company's periodic report for 2024 and the update to that section in the Company's quarterly report for the period ended September 30, 2025, regarding a request for approval of a derivative action filed by a shareholder of the Company ("the Applicant") against B Communications Ltd. ("Bcom") and Mr. Shaul Elovitch (former controlling shareholders of the Company) concerning the sale of part of the Company's shares in 2016, an immediate report is hereby given that on November 23, 2025, Bcom, together with Mr. Shaul Elovitch, submitted a request to the court for approval of a mediation agreement signed between them and the Applicant to end the proceedings of the request for approval of a derivative action.
According to the mediation agreement, without admitting to any of the claims in the request for approval of a derivative action, for settlement purposes and in order to bring about the exhaustion, waiver, settlement, and full termination of the proceedings of the request for approval of a derivative action, it was agreed between the parties that, subject to the approval of the mediation agreement in a final judgment, Bcom will pay a total, final, and absolute amount of NIS 11 million. Out of this amount, a sum of NIS 8.75 million is expected to be paid to the Company.
In accordance with the court's decision of the same day, the Company's position was requested as the beneficiary of the mediation agreement, as well as clarification from all parties involved in the matter, by December 7, 2025.
