Immediate Supplementary Report - Amendment to the Acquisition Terms of “yes”

 

Further to the Company’s immediate report of November 25, 2020 regarding the amendment considered by the Israel Anti-Trust Authority to the terms of the Company's acquisition of its subsidiary DBS Satellite Services (1998) Ltd. (“yes”), an immediate supplementary report is hereby provided that on April 12, 2021, the Anti-Trust Authority published the Director General’s decision on the amendment to such terms.

According to the amendment, the Director General decided to allow the Company’s subsidiaries: Pelephone Communication Ltd., Bezeq International Ltd. and yes (and not to the Company) to sell communication bundles that include Internet infrastructure access, ISP services and TV services without any obligation to sell the TV services at a separate price which will be uniform for both bundle buyers and those who do not buy a bundle.

In addition, the Director General decided to allow for more flexibility in purchasing foreign content, so that the condition that prohibits exclusive arrangements which the Company and yes are party to in respect of TV content (not original production), shall not apply to the purchase of foreign content (other than sports).

The Company is studying the amendment and its impact on its operations and the activity of its subsidiary companies.
