Ministerial Committee For Privatization Gives Unanimous Approval
For Bezeq's Investment In Adanet

At its meeting this morning, the Ministerial Committee for Privatization
approved the acquisition of half of Adanet Business Group by Bezeq.

Ilan Biran, CEO of Bezeq, welcomed the Committee's decision, saying
that the investment in Adanet is important for Bezeq's business operations
and is part of its efforts to expand the basket of services it provides for
its customers.

In February 2001, the Board of Directors of the company approved the
acquisition of 50% of Adanet Business for about 5 million dollars, with
another 5 million approved in the form of a shareholders' loan.

The Adanet Business Group is involved in the application and integration
of data communications solutions, data security and network management,
and supplies a range of communications equipment, servers and accessories.
Among the companies in the Group are Adanet Communications, U.D.I., Kisnet,
DataSec and Broadsite.

Michal Even-Chen, Vice President for Business Development at Bezeq,
said that with the approval of the investment in Adanet, Bezeq has
accomplished a task it took upon itself almost a decade ago, and that
was to include in its basket of services data communication services on
customer premises. "Before deciding on Adanet, Bezeq was looking at several
companies in this field, and one of the reasons for selecting Adanet was the
excellent reports that we received from Adanet's customers," said Even-Chen.
