Immediate Report – Approval of Terms of Office and Employment of the Incoming Company CEO
The Company hereby reports that, pursuant to the Company’s immediate report dated May 12, 2022, regarding approval of the appointment of Mr. Ran Guron as Company CEO (hereinafter: the “Incoming CEO”) commencing from June 19, 2022 (hereinafter: the “Date of Commencement of Employment“), on May 23, 2022, after receiving approval of the Compensation Committee, the Company Board of Directors approved the terms of office and employment of the Incoming CEO that shall be valid from the Date of Commencement of Employment, and this is without any difference compared to the terms of employment of the outgoing CEO[1] and pursuant to Regulation 1b4 of the Companies Regulations (Relief in Transactions with Interested Parties), 2000 (hereinafter: the “Relief Regulations”), and the Company’s officers compensation policy.
Moreover, pursuant to Regulation 1b4 of the Relief Regulations, the terms of office and employment of the Incoming CEO shall be brought for approval before the upcoming General Meeting to be convened by the Company.[2]
